2.2. The Services are primarily provided to business organisations (B2B clients). By browsing the Website, submitting a request for quotation form, or ordering a Service, the Client accepts these GTC.
2.3. The Service Provider is entitled to unilaterally amend these GTC. The amended GTC shall enter into force on the date of publication on the Website. Individual engagement agreements already concluded shall be governed by the GTC in effect at the time of conclusion.
3. Definitions
Client: The business organisation or natural person ordering the Service.
Parties: The Service Provider and the Client collectively.
Service: The chemical safety consulting, document preparation, regulatory procedure management and related expert activities provided by the Service Provider.
Engagement Agreement: The individual agreement between the Parties regarding a specific Service (written order and its confirmation, or a separately signed contract).
Quotation: The written fee proposal prepared by the Service Provider based on the Client's specific requirements.
4. Scope of Services
4.1. The Service Provider offers services in the following areas of chemical safety: preparation, translation and updating of Safety Data Sheets (SDS) in accordance with the REACH Regulation (EC 1907/2006) and the CLP Regulation (EC 1272/2008); Poison Centre Notification (PCN) of hazardous mixtures via the ECHA PCN portal; cosmetic product documentation, including Product Information Dossier (PID) preparation and CPNP notification under EU Regulation 1223/2009; biocidal product authorisation (transitional and BPR procedures); REACH substance registration (manufactured or imported substances); chemical risk assessment; the Priority Client Programme, a subscription-based proactive chemical safety compliance management service; and other chemical safety expert consulting.
4.2. Detailed descriptions of each Service are available on the relevant subpages of the Website.
4.3. The Service Provider reserves the right to expand and modify its service portfolio.
5. Formation of the Contract
5.1. The Client may initiate the use of Services by completing the request form on the Website, by email or by telephone. Based on the enquiry, the Service Provider prepares an individual Quotation and sends it to the Client by email. Unless otherwise stipulated, the Quotation is valid for 30 calendar days from issue.
5.2. In the case of an individual Quotation, the Engagement Agreement is formed upon the Client's written acceptance of the Quotation by email, unless the Parties conclude a separate written contract.
5.3. For online SDS Services available at published prices, the Client selects the Service, quantity and delivery option on the online order form. By clicking “Send the order”, the Client submits an official order carrying a payment obligation, and the Engagement Agreement is formed for the Service, quantity, delivery option and net amount displayed on the form.
5.4. Express acceptance of these Terms and Conditions is required before an online order can be submitted. The Client receives electronic confirmation that the order has been registered.
5.5. The language of the contract is Hungarian or English, as agreed by the Parties.
5A. Use of the InnovaDocs Platform
5A.1. These InnovaTox Terms govern the online order and the expert SDS service provided under that order. Once an order has been submitted, data collection and project tracking continue on InnovaDocs, a separate SaaS platform operated by InnovaTox Ltd.
5A.2. Use of the InnovaDocs platform is governed by its own Terms of Service: https://innovadocs.com/terms-of-service?lng=en-US. Details of personal data processing on the platform are set out in the InnovaDocs Privacy Policy: https://innovadocs.com/privacy-policy?lng=en-US.
5A.3. Further related InnovaDocs documents are the Data Processing Agreement: https://innovadocs.com/dpa?lng=en-US and the AI Transparency Statement: https://innovadocs.com/ai-transparency?lng=en-US.
5A.4. The two sets of terms remain separate: these Terms govern the InnovaTox order and expert service, while the InnovaDocs terms govern use of the InnovaDocs interface and software features.
6. Fees and Payment

6.2. Payment is made by bank transfer based on the invoice issued by the Service Provider. The payment deadline is, unless otherwise agreed, 15 calendar days from the invoice date.
6.3. In case of late payment, the Service Provider may charge default interest as provided by the Hungarian Civil Code (Ptk.) and is entitled to suspend the provision of Services until payment is received.

7. Performance and Deadlines
7.1. The Service Provider shall deliver the Service within the deadline specified in the Engagement Agreement or Quotation.
7.2. The performance deadline runs from the complete delivery of all necessary data, information and documents by the Client. Late data delivery by the Client extends the deadline proportionally.

7.4. The Service Provider delivers proof-of-performance documents (e.g. completed SDS, submission confirmation) to the Client electronically.
7.5. If the Client does not complete the data coordination process or does not provide all data and documents required for performance, the performance period does not begin. 8. Client Obligations
8.1. The Client shall provide the Service Provider with all data, documents and information necessary for Service performance, completely, accurately and in a timely manner.
8.2. The Client is responsible for the accuracy and completeness of the data, composition information and documents provided. The Service Provider is not liable for damages resulting from erroneous or incomplete data supplied by the Client.
8.3. The Client shall use documents prepared by the Service Provider (e.g. SDS, PID, PCN notification) in accordance with applicable legislation and shall ensure they remain up to date, or engage the Service Provider for their updating.

9.2. The Service Provider holds professional liability insurance.

9.4. The Service Provider is not liable for decisions of authorities, consequences arising from changes in the regulatory environment, the content of documents based on erroneous data supplied by the Client, or damages resulting from improper use by the Client.
9.5. If an error is identified in a document prepared by the Service Provider, the Service Provider shall correct it promptly and free of charge.
10. Confidentiality
10.1. The Parties undertake to keep confidential all business secrets and confidential information (in particular formulations, compositions, business data) obtained during the contractual relationship, and to use such information exclusively for the purpose of performing the Service.
10.2. The confidentiality obligation survives the termination of the Engagement Agreement indefinitely.
10.3. Disclosure required by law or by order of a court or authority does not constitute a breach of confidentiality.
11. Intellectual Property
11.1. The Website and its content (texts, graphics, photos, videos, software solutions, layout) is protected by copyright. The copyright holder is the Service Provider.
11.2. Use of Website content (copying, distribution, modification, publication) is permitted only with the Service Provider's prior written consent. Private use is permitted.

11.4. The Service Provider reserves the right to list the fact of collaboration with the Client as a reference, unless the Client objects in writing.
